Frederick L. Hartmann concentrates his practice in corporate and securities law, with particular emphasis on acquisitions and corporate finance.
He has more than 25 years experience representing strategic and financial buyers as well as sellers, investors, lenders and independent directors in a wide range of acquisitions and dispositions, leveraged buy-outs and other business combinations of both public and private companies.
His private placement work has typically been for issuers and includes institutional debt financing, structured international financing transactions and equity capital.
Mr. Hartmann has extensive experience counseling public companies and other clients on disclosure, public reporting and other corporate and securities matters.
He also has represented chief executives and other senior executive officers in connection with their retirement or other terminations of employment.
Represented issuers and underwriters in a variety of public offerings and private placements.
Mr. Hartmann has spoken at seminars on securities and acquisition-related topics, most recently as chair of a seminar on "Buying and Selling Privately Held Businesses."
