Paul A. Rahe advises public and private companies regarding:

• Merger and acquisition transactions
• Securities law issues
• General corporate matters, including organizational and compliance requirements

Mr. Rahe regularly advises private equity funds in their acquisition and sale of portfolio companies.

Mr. Rahe also represents U.S. companies in connection with the acquisition, disposition and reorganization of foreign assets and subsidiaries, and related transactions. In 2005, Mr. Rahe acted as associate in-house counsel to a Fortune 500 company with respect to multiple European merger and acquisition transactions.

Mr. Rahe has:

• Represented issuers and investment banks in equity and debt offerings
• Advised companies in connection with their Securities and Exchange Commission (SEC) reporting and corporate governance obligations
• Significant experience as bond counsel for state and local political subdivisions
• Represented national and regional underwriters in the sale and placement of taxable and tax-exempt securities
