Shirley M. Lukitsch

Shirley M. Lukitsch is a partner in the corporate and securities group and a member of both the public companies and private equity client service groups. She represents both public and private companies in mergers and acquisitions, dispositions, leveraged buy-outs, and other business transactions. She has substantial experience representing institutional investors and mezzanine and private equity funds in equity investments in privately held companies, including the preparation and negotiation of limited liability company agreements, stockholders' agreements, and other contracts governing the rights of investors and co-investors. She also counsels clients in a wide range of business transactions, including licensing and services agreements, primarily in the financial services industry.

Her securities practice includes the representation of both issuers and underwriters in public offerings and private placements of securities. She counsels clients in 1934 Act compliance, including the preparation of periodic reports and disclosure documents and compliance with Section 13(d) and Rule 144. She also assists plan sponsors (including foreign issuers) in complying with federal and state securities laws in connection with stock-based benefit plans.

Experience

Ms. Lukitsch's representative experience includes the representation of:

• A publicly held energy services company in the disposition of its propane and telecommunications businesses
• A publicly held bank holding company in its acquisitions of investment advisory firms, banks, and bank holding companies
• The underwriters in offerings of common stock, junior subordinated notes, and fading lien bonds by a public utility holding company and its wholly-owned subsidiary
• A provider of deferred compensation benefit plan administration services in the negotiation of license and services agreement with plan sponsors in the financial services industries and in other business transactions
• Insurance companies, mezzanine funds and equity fund sponsors in connection with equity investments in a variety of companies, primarily in the manufacturing and service sectors
