Previous Experience
Prior to joining Schiff Hardin, Ms. Johnson was an associate at two other large, Chicago-based firms, where her illustrative matters included drafting and negotiating:
- A loan and security agreement and ancillary loan documents in a $12 million health care organization financing
- A loan and security agreement and ancillary loan documents in a $29 million secured financing
- A note, warrant, and stock purchase agreement and ancillary loan documents for a mezzanine lender and closing the credit facility
- Credit agreements, all real estate documents, ancillary loan documents, subordination agreements, and patent and trademark security agreements for various senior loan transactions used to finance stock and asset acquisitions and refinancing the existing indebtedness of borrowers.
She also represented a borrower in closing a $100 million secured loan facility financing for working capital expenditures. This representation involved cross-border transactions, multiple currencies, and complex perfection issues. Ms. Johnson's other relevant experience include performing syndication reviews for various financial institutions with respect to numerous complex credit facilities, and she has drafted amendments to credit agreements for several lenders.
