Thomas M. Ingoldsby

Thomas M. Ingoldsby is a transactional lawyer who participates in financing energy infrastructure projects and representing participants in power supply contracting and market activities. The financings have been in the form of tax-exempt and taxable bonds, leases, and other forms of securities.
He has a national reputation for his work in tax-exempt lease purchase financings. He has in-depth knowledge of the issues and the practices in the marketplace relevant to the financing of large infrastructure projects. Mr. Ingoldsby has represented lenders, developers, underwriters, and public bodies in these financings.
The range of transactions in which he has participated include the:
- Securitization of lease pools
- Project financing of traditional public infrastructure
- Financing of privately developed and operated capital improvement programs of federal, state and local governments
Mr. Ingoldsby has been an active participant in the development of financeable privatization initiatives for major segments of public infrastructure.
Experience
- Counsel to public authorities and cooperatives in developing responses to deregulation, including power purchase agreements, public/private partnerships and derivative arrangements
- Lender's counsel in the development of lender sponsored lease purchase programs providing several hundred million dollars of infrastructure systems
- Transaction counsel in connection with development of financing structures for public/private partnership for the construction and operation of jails and water and wastewater systems
- Underwriter's counsel for privately constructed and operated toll road
- Government counsel in development and documentation of program for private sector financing, construction and operation of real estate projects for military family housing
- Government counsel for the development of procurement program for design/build water and wastewater projects
- Project counsel for organizations purchasing power from independent power producers
- Issuer's counsel for the development and documentation for long-term power arrangements, including the renovation, construction, maintenance and operation of power facilities
Previous Experience
Prior to joining Schiff Hardin, Mr. Ingoldsby was a partner at Sullivan & Worcester LLP. Earlier, he was a member of Verner, Liipfert, Bernhard, McPherson and Hand.
Before entering into private practice, Mr. Ingoldsby was a trial attorney with the Office of Chief Counsel of the Internal Revenue Service (IRS) in Denver, Colorado.
